Welcome to Panther ERP, a cloud-based business management platform provided by Panther Technologies Limited ("we", "us", "our"). These Terms and Conditions ("Terms") govern your access to and use of the Panther software-as-a-service (SaaS) platform (the "Service").

By registering for, accessing, or using Panther, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Eligibility

You must be at least 18 years old and have the authority to bind your company or organization to these Terms. By using Panther, you represent and warrant that you meet these requirements.

3. Account Registration

To use Panther, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.

4. Use of the Service

You agree to use Panther only for lawful business purposes and in accordance with these Terms. You shall not:

• Use Panther for illegal or fraudulent activities
• Attempt to reverse engineer, decompile, or hack the platform
• Access or attempt to access the accounts of other users without authorization
• Upload malicious software or engage in activity that disrupts or interferes with the platform

We reserve the right to suspend or terminate access for violations of these Terms.

5. Data and Privacy

Use of Panther is subject to our Privacy Policy which explains how we collect, process, and store personal and business data.

You retain ownership of any data you upload or process through Panther ("Customer Data"). You grant us a limited license to use this data solely to provide and improve the Service.

6. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted or error-free service. Scheduled maintenance and unforeseen technical issues may cause temporary downtime.

We are not responsible for any losses or damages resulting from service unavailability.

7. Fees and Billing

Your use of Panther may be subject to subscription fees based on your selected plan. By subscribing, you agree to:

• Pay all applicable fees on time
• Authorize us to charge your payment method for recurring charges

Late payments may result in suspension or termination of your access to the Service.

8. Intellectual Property

All rights, title, and interest in the Panther platform—including its software, design, features, and branding—are owned by Panther Technologies Limited or its licensors. You may not use Panther’s intellectual property without prior written permission, except as expressly authorized under these Terms.

9. Third-Party Services

Panther may integrate with third-party services, such as Google Analytics or cloud storage providers (e.g., GCP, AWS). Your use of those services is governed by their respective terms and policies, and we are not responsible for their actions.

10. Termination

You may terminate your account at any time. We reserve the right to terminate or suspend access with or without notice if you violate these Terms.

Upon termination:

• Your access to the Service will cease
• We will delete or anonymize your data after a retention period, in accordance with our Privacy Policy

11. Disclaimers

The Panther platform is provided "as is" and "as available". We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free or uninterrupted.

12. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, revenue, or data, arising out of or related to your use of the Service.

Our total liability for any claim under these Terms shall not exceed the amount paid by you for the Service during the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Panther Technologies Limited, its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising from:

• Your use of Panther
• Your violation of these Terms or applicable law
• Your infringement of third-party rights

14. Modifications

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date above and notify users where appropriate. Continued use of the Service after such changes constitutes acceptance of the new Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of England, United Kingdom. Any disputes will be resolved in the courts of England, United Kingdom, unless otherwise agreed.
